Terms of Service

Effective date / Last updated: June 24, 2026

These Terms of Service (the "Terms") are a binding agreement between you and ClearHost. They govern your access to and use of the ClearHost hospitality Property Management System and related websites, applications, and services available at https://clearhost.in and its subdomains (collectively, the "Service").

Please read these Terms carefully. By creating an account, clicking "I agree" (or similar), purchasing a subscription, or otherwise accessing or using the Service, you agree to be bound by these Terms and by the Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Service.

The Service is a business-to-business (B2B) product intended for accommodation businesses and their authorized staff. It is not offered to consumers or to hotel guests directly.


1. Agreement to These Terms

1.1 Acceptance

By accessing or using the Service in any way — including registering an account, configuring an organization or property, inviting staff, subscribing to a paid plan, or starting a free trial — you accept these Terms and agree to comply with them. Continued use of the Service constitutes ongoing acceptance.

1.2 The contracting parties

These Terms are entered into between:

  • ClearHost ("ClearHost," "we," "us," or "our"), the provider of the Service, with its registered address at 304, A1 Prospera, Baghmugaliya, Bhopal, Madhya Pradesh 462043, India; and
  • the accommodation business that subscribes to or uses the Service (the "Customer," "you," or "your").

If you accept these Terms or use the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "Customer," "you," and "your" refer to that entity. If you do not have such authority, you must not use the Service.

1.3 Additional terms

Specific features, plans, or promotions may be subject to additional terms or policies presented to you at the time you use them. Where additional terms apply, they form part of these Terms; in the event of a conflict, the additional terms govern for the relevant feature only, to the extent of the conflict.


2. Definitions

In these Terms, capitalized terms have the meanings set out below.

  • "Service" means the cloud-based, multi-tenant hospitality Property Management System (PMS) and related websites, applications, APIs, and features provided by ClearHost, including organization and property management, staff and role management, guest management, bookings and reservations, folios and billing, the direct booking engine, OTA/channel-manager synchronization, and marketing tools.
  • "Customer" means the accommodation business (such as a hotel, hostel, or guesthouse) that registers for, subscribes to, or uses the Service.
  • "User" means any individual the Customer authorizes to access the Service under the Customer's account — typically the Customer's owners, managers, or staff — each acting within the role and permissions assigned to them.
  • "Organization" means the top-level account entity within the Service that represents the Customer's business and under which Properties, Users, subscriptions, and data are grouped.
  • "Property" means an individual accommodation property (for example, a hotel or hostel location) managed within an Organization.
  • "Guest" means an individual whose information is entered into or synchronized into the Service by the Customer, including guests who book through the direct booking engine or whose reservations arrive via OTA/channel-manager synchronization.
  • "Guest Data" means personal data and records relating to Guests and their bookings that the Customer (or its Users) enters into, uploads to, or synchronizes into the Service, including guest identity details, government-issued identity documents, contact details, booking and stay records, folio charges, and related information.
  • "Customer Data" means all data, content, and information submitted to or processed through the Service by or on behalf of the Customer, including Guest Data, Organization and Property records, and configuration.
  • "Subscription" means a paid plan (or free trial of a paid plan) that the Customer purchases to access the Service, as described in Section 6.
  • "Third-Party Service" means any third-party product, platform, or service that the Customer connects to or uses through the Service, or that ClearHost uses to provide a feature of the Service, including those listed in Section 11.
  • "Privacy Policy" means the ClearHost Privacy Policy, as updated from time to time.
  • "DPDP Act" means India's Digital Personal Data Protection Act, 2023, and the rules issued under it.

3. Eligibility and Authority

3.1 Minimum age

The Service is available only to individuals who are at least 18 years of age. By using the Service, you represent that you are 18 or older. We do not knowingly permit anyone under 18 to register or use the Service.

3.2 Authority to bind the business

You represent and warrant that:

  • you are using the Service for business purposes on behalf of an accommodation business, and not as a consumer;
  • you have full legal capacity and authority to enter into these Terms and, where you act on behalf of an Organization, to bind that Organization; and
  • the information you provide on registration is accurate, current, and complete, and you will keep it up to date.

3.3 Compliance

The Customer is responsible for ensuring that its use of the Service, and the use by all of its Users, complies with all laws applicable to the Customer's business, including hospitality, tax, consumer-protection, payment, telecom-marketing, and data-protection laws.


4. Accounts, Users, and Security

4.1 Registration

To use the Service, you must create an account and an Organization. You agree to provide accurate and complete registration information (including a valid email address, which serves as your unique login identifier) and to keep it current. Email verification may be required before you can sign in.

4.2 Credentials and account security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must:

  • keep your password and any access credentials confidential;
  • not share credentials or let others access the Service under your identity except through the Service's own user-invitation and role features; and
  • notify us promptly at support@clearhost.in if you suspect any unauthorized access to or use of your account.

We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4.3 Users, roles, and permissions

The Customer may invite Users to its Organization and assign them roles and permissions within the Service. The Customer is responsible for:

  • the acts and omissions of its Users as if they were the Customer's own;
  • assigning, reviewing, and revoking roles and permissions appropriately, including promptly removing Users who no longer require access; and
  • ensuring that each User complies with these Terms.

Access to Customer Data within an Organization is governed by the roles and permissions the Customer configures. ClearHost is not responsible for the Customer's internal allocation of roles or for access granted by the Customer to its own Users.

4.4 One person per login

Each User account is for a single individual. Login credentials must not be shared between individuals.


5. The Service

5.1 What the Service does

The Service is a cloud-based, multi-tenant PMS that helps accommodation businesses manage their operations, including (depending on the Customer's plan and configuration): Organizations and Properties; staff, roles, and permissions; Guests; bookings and reservations; folios and billing; a direct booking engine; OTA/channel-manager synchronization; and marketing tools such as the "Promote Property" advertising feature. Certain features, including "Promote Property," use AI-assisted suggestions (for example, draft ad copy and creative recommendations generated with a third-party AI provider as described in Section 11). AI-generated outputs are suggestions only, may be inaccurate, and are subject to the disclaimer in Section 14.5; you are responsible for reviewing them before use.

5.2 Changes and iteration

The Service is provided on an evolving, subscription basis. We may, at any time and from time to time, add, modify, improve, or discontinue features or functionality of the Service. We will not make changes that, taken as a whole, materially reduce the core functionality of a paid plan during a billing period for which you have already paid, except where required for legal, security, or operational reasons. For material changes, we will use reasonable efforts to provide notice as described in Section 18.

5.3 Beta and preview features

We may offer features identified as beta, preview, early-access, or experimental ("Beta Features"). Beta Features are provided "as is" and "as available," may be changed or withdrawn at any time, may not be fully tested, and are excluded from any availability commitment and from the warranties in these Terms. Your use of Beta Features is at your own risk.

5.4 Plan limits

Each plan is subject to limits, such as the number of rooms a Property may have. You agree to use the Service within the limits of your plan. Exceeding plan limits may require an upgrade.


6. Subscriptions, Fees, Billing, and Taxes

6.1 Plans and fees

Access to the paid features of the Service requires an active Subscription. Plans, their features, room-tier limits, billing intervals (monthly or annual), and prices are presented to you within the Service or at the point of purchase. Annual plans are billed for the full annual term. All fees are stated and payable in Indian Rupees (INR) unless stated otherwise.

6.2 Payment processor (Razorpay)

Subscription fees are processed through our payment processor, Razorpay. By subscribing, you authorize ClearHost and Razorpay to charge the applicable fees (including any taxes) to your selected payment method, and you agree to Razorpay's applicable terms for the processing of those payments. We do not store your raw card details for Subscription billing; that data is handled by Razorpay (see the Privacy Policy).

6.3 Auto-renewal and payment mandate

Subscriptions are recurring and renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current fee for your plan, unless cancelled before the renewal date in accordance with Section 7. By subscribing, you set up a payment mandate with Razorpay authorizing these recurring charges. You may cancel auto-renewal at any time as described in Section 7.

6.4 Free trials

We may, at our discretion, offer a free trial of a paid plan (for example, a 30-day free trial). Where a free trial is offered:

  • a free trial is generally available only for a first-time Subscription and only where you are eligible; we may determine eligibility and may modify or withdraw trial offers at any time;
  • you may be required to set up a valid payment mandate (via Razorpay) when starting a trial;
  • unless you cancel before the trial ends, your Subscription will automatically convert to a paid Subscription and your payment method will be charged the applicable fee at the end of the trial; and
  • trial terms (including duration and eligibility) presented to you at sign-up apply to that trial.

6.5 Taxes (GST)

All fees are exclusive of taxes unless stated otherwise. Goods and Services Tax (GST) and any other applicable taxes, levies, or duties will be added where required by Indian law and are your responsibility. To enable correct tax treatment and invoicing, you are responsible for providing accurate tax information, including your GSTIN where applicable.

6.6 Invoices

We (or Razorpay on our behalf) will make billing records or invoices available to you for your Subscription. You are responsible for verifying that your billing information is accurate.

6.7 Price changes

We may change our plans and fees. For changes that affect your recurring fees, we will provide reasonable advance notice (for example, by email or in-product notice) before the change takes effect on a subsequent renewal. If you do not agree to a price change, you may cancel before it takes effect; continued use after the change takes effect on renewal constitutes acceptance of the revised fees.

6.8 Failed or late payments

If a payment is declined, fails, or is not received when due (including on auto-renewal), we may retry the charge, and we may suspend or restrict your access to paid features until the outstanding amount is paid. You remain responsible for all amounts due. We may also charge interest or recovery costs on overdue amounts to the extent permitted by law.

6.9 No setoff

Except as required by law, all fees are payable without setoff, deduction, or withholding.


7. Cancellation and Refunds

7.1 How to cancel

You may cancel your Subscription (turn off auto-renewal) at any time through the Service's billing settings or by contacting support@clearhost.in. To avoid being charged for the next billing period, you must cancel before the next renewal date.

7.2 Effect of cancellation

When you cancel:

  • your cancellation takes effect at the end of the then-current paid billing period, and you generally retain access to the paid features you have already paid for until that period ends; and
  • your Subscription will not renew, and you will not be charged for subsequent periods.

After your paid access ends, your account may be downgraded, restricted, or, after the period described in Section 9.5, closed.

7.3 Refund policy

Fees are non-refundable, and there are no refunds or credits for partial billing periods, for periods already started, for unused features, or for periods during which your account was active but unused, except where a refund is required by applicable law. If you cancel a free trial before it converts to a paid Subscription, you will not be charged for that plan. Where a refund is required by law or expressly agreed by us in writing, it will be processed through Razorpay to the original payment method. Nothing in this Section limits any non-waivable consumer or statutory rights you may have under Indian law.

7.4 No refund of GST or third-party charges

Amounts that have been remitted as GST or other taxes, and any fees, ad spend, or charges incurred through Third-Party Services (see Sections 8 and 11), are not refundable by ClearHost.


8. Booking Payments and Property-Connected Razorpay

8.1 Two distinct payment flows

There are two separate payment flows in the Service:

  • Subscription billing — fees the Customer pays ClearHost for the Service, processed through Razorpay as described in Section 6; and
  • Booking payments — payments collected from Guests for bookings (for example, through a Property's direct booking engine), as described in this Section 8.

8.2 Property-connected Razorpay accounts

A Property may connect its own Razorpay account to collect booking payments directly. Where a Property does so:

  • the Customer (not ClearHost) is the merchant of record for those booking payments;
  • the Customer is solely responsible for its own payment processing, including configuring its Razorpay account, complying with Razorpay's terms and applicable payment-card and financial-services rules, and the lawfulness of charges it initiates;
  • the Customer is solely responsible for refunds, cancellations, chargebacks, disputes, and reconciliation relating to those booking payments and for the relationship with the Guest paying; and
  • funds for those booking payments are settled by Razorpay to the Customer's connected account, not to ClearHost.

The Service facilitates the initiation and verification of these payments through the Customer's connected account; it does not make ClearHost a party to, or guarantor of, the underlying booking transaction.

8.3 ClearHost is not responsible for booking transactions

ClearHost is a software provider. We do not act as a payment intermediary, escrow, or guarantor for booking payments collected through a Property-connected Razorpay account, and we are not responsible or liable for the Customer's pricing, taxes, cancellation and refund policies, disputes with Guests, or any chargebacks, shortfalls, or losses relating to booking payments. The Customer indemnifies ClearHost in respect of such matters as set out in Section 16.

8.4 Security of payment credentials

Where the Customer connects its own Razorpay account, the related key secret is encrypted at rest as described in the Privacy Policy. The Customer is responsible for keeping its Razorpay credentials accurate and for the security of its own Razorpay account.


9. Customer Data and Privacy

9.1 Privacy Policy

Our collection and use of personal data is described in the Privacy Policy, which is incorporated into these Terms. By using the Service, you acknowledge the Privacy Policy.

9.2 Roles under the DPDP Act

As explained in the Privacy Policy:

  • ClearHost is the Data Fiduciary for personal data relating to account holders, billing, Users, and our website (for example, your ClearHost login and Subscription billing data); and
  • for Guest Data entered or synchronized into the Service by the Customer, the Customer is the Data Fiduciary and ClearHost acts as the Customer's Data Processor, processing such data on the Customer's instructions to provide the Service.

9.3 Customer responsibilities for Guest Data

The Customer is solely responsible for the lawfulness of the Guest Data it (or its Users) collects, enters, uploads, or synchronizes into the Service, including:

  • having a valid legal ground and any required consent under the DPDP Act and other applicable law;
  • the collection and handling of government-issued identity documents (such as passport, national ID, driver's license, Aadhaar, PAN, or voter ID) only where lawful and necessary, and only to the extent permitted;
  • any data relating to minors (including minors travelling with Guests), including obtaining verifiable parental or guardian consent where required by the DPDP Act; and
  • providing required notices to, and honoring the rights of, the Guests whose data it controls.

ClearHost relies on the Customer's lawful basis for processing Guest Data and is not responsible for the Customer's failure to obtain it.

9.4 License to process Customer Data

The Customer grants ClearHost a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Customer Data (including Guest Data) solely as necessary to provide, secure, maintain, and improve user-facing features of the Service, to process payments, to comply with law, and otherwise to perform our obligations and exercise our rights under these Terms. For Guest Data, where ClearHost acts as the Customer's Data Processor (Section 9.2), ClearHost processes such data only on the Customer's documented instructions — including any use to improve user-facing features — and not as an independent Data Fiduciary. ClearHost does not sell Customer Data and does not use Customer Data to train generalized or general-purpose artificial-intelligence models.

9.5 Data export and deletion on termination

The Customer may export Customer Data using the features available in the Service. Following termination or expiry of the Customer's Subscription, ClearHost will, after a reasonable transition period, delete or anonymize Customer Data in accordance with the Privacy Policy and applicable law, except where retention is required by law (for example, for tax, accounting, or audit purposes) or to resolve disputes or enforce these Terms. The Customer is responsible for exporting any data it wishes to retain before the end of that period.

9.6 Aggregated and de-identified data

ClearHost may generate and use aggregated, anonymized, or de-identified data derived from use of the Service for operating, analyzing, and improving the Service, provided such data does not identify the Customer, any User, or any Guest.


10. Acceptable Use and Prohibited Conduct

You agree not to, and not to permit any User or third party to:

  • use the Service for any unlawful, fraudulent, infringing, or harmful purpose, or in violation of any applicable law;
  • enter, upload, or process any Guest Data or other content without a lawful basis, or that is unlawful, infringing, or that you do not have the right to provide;
  • copy, modify, create derivative works of, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service, except to the extent this restriction is prohibited by applicable law;
  • scrape, harvest, crawl, or use bots or automated means to access, extract, or index the Service or its data except through interfaces we expressly provide;
  • probe, scan, or test the vulnerability of the Service, or breach, disable, or circumvent any security, authentication, rate-limiting, or access-control mechanism;
  • access the Service to build a competing product or to benchmark it without our written consent;
  • introduce malware, viruses, or harmful code, or interfere with or disrupt the integrity, performance, or availability of the Service or its infrastructure;
  • resell, sublicense, rent, lease, or provide the Service to third parties except as expressly permitted (for example, your own Users and your own Guests using the booking engine);
  • send spam or unsolicited communications, or use any marketing or messaging feature in violation of applicable anti-spam and telecom-marketing laws and regulations (including India's regulations on commercial communications and unsolicited messages), or without the recipient's required consent; or
  • misuse Third-Party Services connected through the Service, or violate the terms of those Third-Party Services.

We may investigate suspected violations and may suspend or terminate access in accordance with Section 17. You are responsible for your Users' and Guests' compliance with this Section to the extent they act through your account or your booking engine.


11. Third-Party Services and Integrations

11.1 Third-party services used in or connected to the Service

The Service relies on, and offers optional integrations with, third-party services, including:

  • Google Sign-In for authentication;
  • Google Ads and Meta (Facebook / Instagram) Ads via the "Promote Property" feature, which is an advertising-only integration (it does not publish organic posts or content to your Facebook Pages or Instagram);
  • OpenAI, used to power AI-assisted suggestions in the "Promote Property" feature — for example, generating draft ad copy and creative recommendations from the property details and any photos you provide. AI-generated outputs are suggestions only and are not guaranteed to be accurate;
  • Google Maps / Places for address autocomplete and map display; and
  • Channex for channel-manager / OTA synchronization.

The specific third-party providers and their roles (including any acting as sub-processors of personal data) are described further in the Privacy Policy.

11.2 Governed by third-party terms

Each Third-Party Service is provided by its respective provider and is governed by that provider's own terms and privacy policies, which, where you connect or use the relevant integration, you are responsible for reviewing and complying with. Your relationship with each provider you connect is between you and that provider.

11.3 Your connected accounts and ad spend

You are solely responsible for:

  • the accounts you connect (including the credentials, configuration, and standing of your Google, Meta, Razorpay, and Channex / OTA accounts);
  • all advertising spend, budgets, and charges incurred through your connected advertising accounts via the "Promote Property" feature, which are billed directly to you by the relevant ad platform; and
  • compliance with the advertising policies and content rules of Google and Meta.

11.4 No guarantee of results; no liability for third-party changes

ClearHost does not guarantee any advertising outcome, ranking, reach, impressions, conversions, or return on ad spend. ClearHost is not responsible or liable for: (i) the availability, accuracy, performance, security, or actions of any Third-Party Service; (ii) any change, deprecation, suspension, outage, fee change, or discontinuation by a third-party provider; or (iii) any suspension or loss of your connected account by the provider. If a Third-Party Service becomes unavailable or changes, the related Service features may be limited, suspended, or discontinued without liability to us.


12. Intellectual Property

12.1 Ownership of the Service

The Service, including all software, code, designs, user interfaces, text, graphics, logos, documentation, and all related intellectual property rights, is and remains the exclusive property of ClearHost and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

12.2 License to the Customer

Subject to your compliance with these Terms and payment of applicable fees, ClearHost grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the term of your Subscription, to access and use the Service for your internal business purposes of operating your accommodation business.

12.3 Customer Data ownership

As between the parties, the Customer retains all ownership of Customer Data. Nothing in these Terms transfers ownership of Customer Data to ClearHost. ClearHost's rights in Customer Data are limited to the license in Section 9.4.

12.4 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant ClearHost a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback into the Service or our products without restriction or obligation to you.

12.5 Trademarks

"ClearHost" and the ClearHost logos are trademarks of ClearHost. You may not use them without our prior written consent, except to factually identify your use of the Service. All other trademarks (including those of Google, Meta, OpenAI, Razorpay, and Channex) belong to their respective owners.


13. Confidentiality

13.1 Confidential Information

"Confidential Information" means non-public information disclosed by one party (the "discloser") to the other (the "recipient") that is marked confidential or that a reasonable person would understand to be confidential, including the Service's non-public features and pricing, Customer Data, and security information. It does not include information that is or becomes public through no fault of the recipient, was rightfully known to the recipient without confidentiality obligations, is independently developed without use of the Confidential Information, or is rightfully received from a third party without restriction.

13.2 Obligations

The recipient will (i) use Confidential Information only to perform under these Terms, (ii) protect it using at least reasonable care, and (iii) not disclose it except to its personnel, affiliates, and service providers who need it and are bound by confidentiality obligations no less protective than these.

13.3 Compelled disclosure

The recipient may disclose Confidential Information to the extent required by law or legal process, provided that, where legally permitted, it gives reasonable prior notice to the discloser.


14. Service Availability, Warranties, and Disclaimers

14.1 "As is" / "as available"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, ClearHost disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

14.2 No guarantee of uninterrupted or error-free service

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components, or that defects will be corrected. We may perform maintenance, and the Service may be unavailable from time to time. You are responsible for maintaining your own backups of Customer Data using the export tools provided.

14.3 No SLA unless separately agreed

Unless ClearHost has agreed to a separate written service level agreement (SLA) with you, the Service is provided without any uptime or availability commitment, and no credits, remedies, or penalties apply for unavailability.

14.4 Third-party and Beta disclaimers

Third-Party Services and Beta Features are provided "as is" and are excluded from any warranty. ClearHost makes no representations regarding Third-Party Services.

14.5 No professional advice

The Service and its outputs (including reports, metrics, AI-assisted suggestions, and marketing recommendations) are provided for your business use and do not constitute legal, tax, accounting, or professional advice. You are responsible for your own decisions.


15. Limitation of Liability

15.1 Exclusion of indirect damages

To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business, anticipated savings, or loss or corruption of data, arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.

15.2 Liability cap

To the maximum extent permitted by applicable law, ClearHost's total aggregate liability arising out of or relating to these Terms and the Service will not exceed the total fees actually paid by the Customer to ClearHost for the Service during the twelve (12) months immediately preceding the event giving rise to the liability.

15.3 Third-party and booking-payment exclusions

ClearHost will have no liability for: (i) any act, omission, change, outage, or failure of a Third-Party Service; (ii) advertising results or ad spend incurred through your connected accounts; or (iii) booking payments, refunds, chargebacks, or disputes processed through a Property-connected Razorpay account (for which the Customer is the merchant of record under Section 8).

15.4 Carve-outs

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, or a party's indemnification obligations under Section 16. The Customer's payment obligations are not limited by this Section.

15.5 Basis of the bargain

The limitations in this Section reflect an agreed allocation of risk between the parties and form an essential basis of the bargain; they apply even if a limited remedy fails of its essential purpose.


16. Indemnification

The Customer will defend, indemnify, and hold harmless ClearHost and its officers, directors, employees, and agents from and against any third-party claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • the Customer's or any User's misuse of the Service or breach of these Terms;
  • Customer Data or Guest Data, including any claim that it is unlawful, was collected or processed without a lawful basis or required consent (including government-identity documents and minors' data), or infringes or misappropriates the rights of any person;
  • any content, marketing, or advertising the Customer creates, runs, or distributes through the Service or connected ad accounts;
  • booking transactions and booking payments, including pricing, taxes, refunds, cancellations, chargebacks, and disputes with Guests (including those processed through a Property-connected Razorpay account); or
  • the Customer's violation of any applicable law or of any Third-Party Service's terms.

ClearHost will promptly notify the Customer of any claim, allow the Customer to control the defense (provided any settlement that imposes obligations on ClearHost requires ClearHost's prior written consent), and reasonably cooperate at the Customer's expense.


17. Suspension and Termination

17.1 Termination by the Customer

You may terminate by cancelling your Subscription as described in Section 7 and ceasing use of the Service. Termination does not entitle you to a refund except as provided in Section 7.3.

17.2 Suspension or termination by ClearHost

We may suspend, restrict, or terminate your access to the Service, in whole or in part, with or without notice as appropriate, if:

  • you fail to pay fees when due (Section 6.8);
  • you materially breach these Terms (including the Acceptable Use restrictions in Section 10) and, where the breach is curable, fail to cure it within a reasonable period after notice;
  • your use poses a security, legal, or operational risk to the Service, to us, or to others, or is required to comply with law or a request from an authority; or
  • a Third-Party Service necessary to provide a feature is withdrawn or your connected account is terminated by its provider.

Where practicable and lawful, we will give you notice before suspension or termination; where the risk is urgent, we may act first and notify you afterward.

17.3 Effect of termination

On termination or expiry:

  • your right to access and use the Service ends, and we may disable your account and Organization;
  • you remain liable for all fees accrued up to the effective date of termination;
  • Customer Data will be handled, exported, and deleted as described in Section 9.5; and
  • each party will return or destroy the other's Confidential Information on request, subject to legal retention requirements.

17.4 Survival

Provisions that by their nature should survive termination will survive, including Sections 2 (Definitions), 6.8–6.9 and 7 (outstanding fees, no setoff, and refunds), 8.3, 9 (Customer Data and Privacy, as applicable), 10, 11, 12, 13, 14, 15, 16, 17.3–17.4, 20–23, and 24 (Grievance and Contact, including the Grievance Officer obligation).


18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where the changes are material, provide additional notice (for example, by email or in-product notice). Changes take effect on the date stated in the notice or, if none is stated, when posted. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms, to the extent permitted by law. If you do not agree to the revised Terms, you must stop using the Service and may cancel your Subscription as described in Section 7.


19. Force Majeure

ClearHost will not be liable for any delay or failure to perform its obligations (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action or restrictions, strikes or labor disputes, power or telecommunications failures, internet or hosting-provider outages, third-party service or platform failures, and cyberattacks. The affected obligations will be suspended for the duration of the event.


20. Governing Law and Dispute Resolution

20.1 Governing law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.

20.2 Arbitration

The parties will first attempt to resolve any dispute amicably through good-faith discussions. If a dispute is not resolved within thirty (30) days of written notice, it will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration will be conducted by a sole arbitrator appointed by mutual agreement of the parties; the seat and venue of arbitration will be Bhopal, Madhya Pradesh; and the language of arbitration will be English. The arbitral award will be final and binding on the parties.

20.3 Jurisdiction

Subject to the arbitration provision above, the parties submit to the exclusive jurisdiction of the courts at Bhopal, Madhya Pradesh, India for any proceedings permitted to be brought before a court (including for interim relief).

20.4 Interim relief

Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.


21. Notices

We may provide notices to you by email to the address associated with your account, by posting within the Service, or by posting on https://clearhost.in. You are responsible for keeping your contact details current. You may provide legal notices to ClearHost by email to support@clearhost.in and, where required, in writing to ClearHost at 304, A1 Prospera, Baghmugaliya, Bhopal, Madhya Pradesh 462043, India. Notices are deemed received when sent by email (absent a delivery failure) or, for physical notices, on actual receipt.


22. Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without ClearHost's prior written consent. ClearHost may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, financing, or sale of assets. Any attempted assignment in breach of this Section is void. These Terms bind and benefit the parties and their permitted successors and assigns.


23. General

  • Entire agreement. These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements and understandings on the subject.
  • Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable (or, if it cannot be, severed), and the remaining provisions will remain in full force and effect.
  • Waiver. No failure or delay in exercising any right under these Terms operates as a waiver, and no single or partial exercise precludes any further exercise. Waivers are effective only if in writing.
  • No agency or partnership. The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between them.
  • No third-party beneficiaries. These Terms do not confer any rights on any third party, except as expressly stated (for example, the indemnified parties in Section 16).
  • Headings. Headings are for convenience only and do not affect interpretation.
  • Order of precedence. In the event of a conflict between these Terms and the Privacy Policy regarding the processing of personal data, the Privacy Policy governs to the extent of that conflict.
  • Survival. Section 17.4 governs survival of provisions following termination.
